JACKSON: IT'S A PLOT FOR SONGS

MICHAEL Jackson fears he was accused of child abuse as part of a plot to steal his lucrative music catalogue, claims his former investigator.

He alleges his enemies have paid his accuser Gavin Arvizo's mother to secure a conviction.

Jackson and his brother Jermaine made the accusations to a US private investigator, a Vanity Fair probe claims.

They asked Gordon Novel, who worked on the JFK assassination investigation, to find links between his enemies to get the trial stopped.

Jacko owns the rights to 251 Beatles songs.

Novel also said the star was terrified of jail. "He kept asking what prison was like. Can he watch TV there? He wanted me to stop the show."

The singer denies 10 charges, including child molestation. The trial continues at Santa Maria court, California.

Michael Jackson's share of Beatles catalog in doubt
Tue Jun 7, 2005 1:27 PM ET

LOS ANGELES (Reuters) - As jurors weigh Michael Jackson's guilt in his child molestation trial, music industry executives and bankers have been weighing a separate, but related question: Will Jackson have to sell his $500 million stake in the Beatles' music catalog?

Jackson bought the publishing rights to the catalog for about $48 million two decades ago at the height of his career.

But these days, according to testimony at his trial, the self-proclaimed King of Pop is deep in debt at a time when investment interest in the income-spinning property of his storied collection of song rights is strong, industry experts said.

Many believe that Jackson will have to sell his stake in the catalog if he is found guilty and say even an acquittal could prove to be a catalyst for a deal.

The Beatles songs are jointly owned by Jackson and Sony Corp. through Sony/ATV Music Publishing company.

Jackson attorney John Branca and his adviser, music publisher Charles Koppelman, did not return calls seeking a comment.

The Sony/ATV catalog also includes songs like Bob Dylan's classic "Blowin' in the Wind" and the works of artists such as Joni Mitchell and Stevie Nicks.

A spokeswoman for Sony ATV declined to comment, but many industry observers expect Sony is waiting for the opportunity to buy out Jackson. One source close to Sony, however, said no deal appeared to be imminent.

Jackson and former Beatle Paul McCartney collaborated during the 1980s on various songs when the pop star got the idea to buy the copyrights.

Conglomerate ATV in 1969 had purchased Northern Songs, a publishing company established by the Beatles. The catalog included some 4,000 songs, including more than 200 Beatles tunes, worth an estimated two-thirds of the catalog's value.

ATV was then owned by the late Australian tycoon Robert Holmes a Court, whose company, Bell Group, negotiated with Jackson for 10 months before striking a deal in August 1985.

CUTS STAKE IN 1995

In 1995, Jackson cut his stake to 50 percent after merging ATV with Sony's publishing. Jackson also has a 50-percent stake in new songs added to the catalog.

"I've heard the rumors he's trying to raise cash and Sony probably would have the right of first refusal and would be first in line to buy if he chose to sell," said Owen Sloane, an entertainment lawyer who was involved in the original 1985 deal on behalf of ATV.

Accountant John Duross O'Bryan testified for the prosecution at Jackson's trial that the 46-year-old entertainer had steadily borrowed against his holdings and not paid his share of Sony's continuing investment. Jackson would have to pay off about $200 million in loans securing the catalog, he said.

Those loans, first provided by Bank of America, were sold in the past month to New York private equity fund, Fortress Investment Group, sources familiar with the matter said.

Fortress was unavailable for comment, but if Jackson defaulted on the loans, the fund would be in a position to seize control of Mijac, the company that controls copyrights to Jackson's songs.

While physical CD sales have been declining with the explosion of digital distribution, publishing rights have grown in value as songs are being licensed for everything from movies to cell-phone ringtones to video games.

"One of the things that is going on is that investment bankers are getting more into the field, because music publishing is one of the few assets -- it is an annuity -- that's not going away and only getting more valuable with ringtones and such," said Mike Sigman, president of Major Songs, a music publishing company.

'Beatles for sale' hopes
Lucy Farndon, Daily Mail,
21 June 2005

MUSIC groups are eagerly awaiting the sale of Michael Jackson's music assets which could be up for grabs as the star tries to clear his debts.

Jackson jointly owns the rights to more than 250 Lennon/McCartney compositions for the Beatles - including Yesterday - in a 50/50 venture with Sony.

Irish bookmaker Paddy Power is offering evens to punters wanting to bet that Jackson will sell his share of the songbook this year.

The short odds suggest that such a move is likely.

British music giant EMI is tipped as a possible bidder, though Sony may want to take full control.

The music catalogue is estimated to be worth £280m, though the price could be pushed even higher if a superrich Beatles fanatic enters the bidding.

Jackson makes money from the songs whenever they are played on the radio, or used in TV ads or films, so he may try to hold on to the catalogue if he can afford it.

However, it emerged at the singer's trial that he has loans of more than £100m secured against the music rights.

If he had been convicted, a swift sale would have been likely. But now Jackson has more time to consider his options. He bought the publishing rights for £27m two decades ago when his career was on a high.

All you need is cash

The Beatles' songs took a long and winding road to Jacko's door. Will he sell them?

While the not-guilty verdict in the Michael Jackson trial should mercifully close the book on much of its sad and sordid business, a few subplots linger. One is that Michael's ongoing cash-flow problems could force him to consider selling some or all of his 50% share in the Sony/ ATV song publishing catalogue.
That would just be boring bean-counter news except that this catalogue is home to not only a few familiar items like "Star Dust" and "Blowin' in the Wind," but 251 Beatles songs. That means John Lennon/Paul McCartney standards like "Yesterday," "In My Life" and "Hey Jude."

This gives the catalogue an unusual prominence, and Jackson himself recently charged the molestation case was just a ploy in a larger conspiracy to put him in a position where he would have to sell his Sony/ATV share.

He also insists that he has no plans to do so. But reports persist, because Sony/ATV is part of the collateral he recently put up to obtain a $250 million loan and he is now technically in default.

As his pal Donald Trump can attest, these things usually get worked out. Still, the fact that one of the world's most valuable and beloved song catalogues could be in play is instructive about the song-publishing biz.

Ever since Jackson bought the catalogue in 1985, he's said it was both an investment and a rare chance to own music he loves.

McCartney, similarly, has often said he would like to own the catalogue just to bring his babies back home.

This kind of talk is music to fans' ears. They want everyone to love the songs as purely as they do, for being beautiful music. When Brian Wilson tried to get all his Beach Boys songs back after his nasty father, Murry, sold them, who didn't root for him?

Unlike a kiss, however, a song isn't always just a song. It's also a cash asset, as the trail of the Beatles' songs confirms.

Junction One, 1962. Beatles manager Brian Epstein, unhappy with promotion for the single "Love Me Do," wants a more aggressive publisher. George Martin steers him to Dick James. McCartney and Lennon form Northern Songs and Epstein gives James 50% of the revenue to publish their work. Months later, James is a multimillionaire.

Junction Two, 1965. The Beatles are making so much money they have hit Britain's 90% tax bracket. To shift their income to capital gains, they take Northern Songs public. James retains 37.5% and McCartney and Lennon 15% apiece. The company is valued around $5 million.

Junction Three, 1969. James realizes Lennon and McCartney are about to break up, which will badly curtail their song output. So he sells his shares to ATV, which is owned by Sir Lew Grade, a British entertainment mogul nicknamed Sir Low Grade. James doesn't mention this to Paul and John until the deal is done, though he insists a nice lump sum from Grade is the most lucrative option for everyone.

John and Paul then try to block Grade from getting enough additional stock to have a controlling interest, and they almost succeed until Lennon announces he won't deal with any suits, including those he and Paul need for control. Grade ultimately buys it all for 9 million pounds, around $18 million.

Junction Four, 1985. Grade's people decide to cash out. McCartney is interested, but he wants Lennon's widow, Yoko Ono, to kick in and she declines. So even though McCartney is said to be worth more than $500 million and already owns other song catalogues, including Buddy Holly's, he declines to top Jackson's $47.5 million bid for ATV.

Junction Five, 1995. Jackson, needing cash, sells half the catalogue to Sony for $150 million. Later Jackson will call Sony president Tommy Mottola "devilish" and accuse him of trying to steal Jackson's assets.

Today the Sony/ATV catalogue is worth from $400 million to $1 billion. It could be Jackson's most valuable asset, particularly since he has enhanced its value by selling some songs for TV ads - a move that infuriates McCartney, even though he himself has licensed Holly songs for ads.

So let's call it unlikely that Jackson would want to sell all or part of his 50% share.

If he did, though, it would keep the trains running at Neverland for a long time. Which is why, even though Jackson and, especially McCartney, undoubtedly love the music, the recurring role of these songs in this drama is less the "romantic interest" than "cold hard cash."

Jackson Sued Over Beatles Library Finances Mon Jul 11, 7:53 PM ET

NEW YORK - A financial company specializing in asset acquisition sued Michael Jackson on Monday, saying it is owed $48 million in fees for rescuing the singer's stake in the publishing rights to songs by the Beatles.

Prescient Acquisition Group Inc. said in its lawsuit in U.S. District Court in Manhattan that the pop music celebrity enlisted it in November 2004 to provide financial advice and to secure refinancing of a $272 million debt to Bank of America.

On behalf of Jackson and his company MJ Publishing Trust, Prescient secured $537 million in financing from Fortress Investment Group LLC, enough for Jackson to pay off the debt and exercise an option to buy the remaining 50 percent of the Beatles library he didn't already own, the lawsuit said.

Prescient said it was entitled to an immediate payment of $24.8 million, which is 9 percent of the financing used to pay off the Bank of America debt and a $3.3 million advance to Jackson and his company.

Prescient accused Jackson of breach of contract, saying that it had done what was expected in a written agreement and that Jackson and his company were not entitled to "retain the benefits of those services in equity and good conscience without paying to Prescient an amount to be determined at trial."

A lawyer for Jackson did not immediately return a telephone message for comment Monday.

По оценкам экспертов, роялти, вырученные до и после Live 8, могли решить изрядную часть проблем Джако: помимо того, что заметно улучшились продажи бэк-каталога The Beatles, записи песен «Sgt Pepper's Lonely Hearts Club Band» и «The Long And Winding Road» из лондонского Гайд-парка на ура расходятся в онлайн-магазине iTunes.

McCARTNEY WON'T BUY BEATLE RIGHTS

SIR PAUL McCARTNEY has slammed rumours he will take advantage of MICHAEL JACKSON's financial troubles to make a low offer for THE BEATLES song rights - because he will get them anyway.

Reports of Jackson's dwindling financial prospects prompted speculation McCartney would buy back rights to his classic songs like YESTERDAY, but the rocker revealed a legality means the songs will soon be his anyway.

And the superstar stresses his one time feud with Jackson is over because he is too happy to be angry with the fallen pop king.

He says, "I don't think so. I've had people talk to me who are more concerned for me than I am about it. But the interesting thing is, there are actually things in the whole deal that actually revert to me anyway.

"There are years approaching, there are date approaching, that we never thought would approach, where things revert to me. So really, it's a waiting game rather than a big proactive buying game.

"Which suits my personality: just hang on, be patient, it's cool. Don't get your knickers in a twist."

McCARTNEY WON'T BUY BEATLES SONGS BACK

Sir Paul McCartney will never buy back the rights to The Beatles songs from Michael Jackson, but he admits he hates paying to play songs he wrote.

Jackson snapped up the songs in 1985 behind McCartney's back, but is rumoured to be selling them to help clear debts.

But McCartney is reluctant to pay out for the songs, which will revert back to him soon anyway.

He says, "Bono rang me and said, 'Did you hear? He's selling the songs. You should buy them!' Everyone else thinks I should too. But the thing is, I do get some cash from the publishing already. And in a few years more of the rights will be automatically be reverting to me.

"The only annoying thing is, when I tour America I have to pay to play some of my own songs. But I don't think about that. Because if I did, it would be just too annoying."

Jacko admits defeat in £400m Beatles song rights battle

Michael Jackson is being forced to sell off part of his catalogue of Beatles songs in a bid to stave off bankruptcy.

The singer outbid Sir Paul McCartney and John Lennon's widow, Yoko Ono, to buy the songs for £24 million ($46 million) in 1985.

The deal gave Jackson control over the Fab Four's repertoire and hits by artists such as Bob Dylan and Neil Diamond.

But now the giant Sony entertainment company is ready to claim as much as half of his holdings as payback for a financial fix that the disgraced star agreed to last year.

"Sir Paul will be delighted,' a source close to Jackson said. "But for Michael this will be devastating. He fought tooth and nail to try to find an alternative but he doesn't see one."

Jackson's rights to the music - which he co-owns with Sony - are valued at between £250 million ($482 million) and £400 million ($772 million).

The catalogue has earned him hundreds of millions of pounds over the years but he has squandered his earnings maintaining his lifestyle.

And he racked up huge legal fees successfully defending himself against allegations that he abused children at his Neverland ranch.

His Beatles collection is at risk after an American investment group threatened to foreclose on a £140 million ($270 million)loan they made to Jackson.

Sony helped him repay the debt in return for an option to buy half of his 50 per cent stake in the catalogue - and they now want to enforce the option.

New York entertainment commentator Roger Friedman said: "It's known as the Liquidation Sale among insiders."

The singer is facing enormous new financial demands, including a £10 million ($19 million) loan payment due in October and a £14 million ($27 million) writ from a finance firm.
